1. Acceptance of Terms

MoneyTalkie ("MoneyTalkie," "we," "us," or "our") provides a financial advisory platform (the "Service") that uses artificial intelligence and secure data integrations to deliver personalized financial insights. By accessing or using the MoneyTalkie website, mobile application, or any related services, you ("you" or "the user") agree to be bound by these Terms and Conditions (the "Terms"). You also agree to our Privacy Policy (see our separate Privacy Policy document), which is incorporated by reference. If you do not agree with these Terms or the Privacy Policy, or if you are not eligible to use the Service, you must not use MoneyTalkie.

2. Eligibility

You must be at least 18 years old to use MoneyTalkie. By using the Service, you represent and warrant that you are 18 or older (or the age of majority in your jurisdiction) and that you have the legal capacity to enter into this agreement. The Service is intended for users residing in the United States or Canada; by using MoneyTalkie, you confirm that your use of the Service is in compliance with all applicable laws and regulations in your locality. If you are using MoneyTalkie on behalf of an organization or company, you represent that you have the authority to bind that entity to these Terms, and "you" in these Terms will refer to both you and the entity.

3. Account Registration and Security

To access the Service, you will need to register for a MoneyTalkie account. Registration may be done by signing in with a supported third-party account (such as Google or Apple sign-in) or by using our email "magic link" authentication. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

Account Security: You are responsible for maintaining the confidentiality of your login credentials (including any magic link or third-party account access) and for all activities that occur under your account. Do not share your account or allow others to access the Service through your credentials. If you suspect any unauthorized access or security breach (for example, if your Google or Apple account is compromised or someone else gains access to a magic link sent to your email), you must notify MoneyTalkie immediately. We are not liable for any loss or damage arising from your failure to secure your account.

4. Description of Services

MoneyTalkie is a fintech platform that provides personalized financial insights and recommendations by analyzing your financial information with advanced AI technologies. Using a technique called Retrieval-Augmented Generation ("RAG"), MoneyTalkie combines data from your actual financial accounts with artificial intelligence models to generate tailored guidance. For example, MoneyTalkie can review your spending, savings, and credit data (with your permission) and offer insights on budgeting, credit card usage, or other financial planning topics.

Our AI engine leverages services like OpenAI's GPT models, Sentence Transformers, and Google's AI (e.g., Google Gemini), along with secure data integrations (such as Plaid for banking data and other providers for credit data), to deliver these insights.

No Fees (Free Service): At present, MoneyTalkie is 100% free to use โ€“ we do not charge any subscription or usage fees for the core Service (see Section 5 on Fees). Our platform is continually evolving, and we may add new features or integrations over time (for instance, integrating with credit data sources like Nova Credit or additional AI providers) to improve your experience. All new features will also be subject to these Terms, and we will inform users of any significant changes to the Service.

5. Fees and Charges

MoneyTalkie is currently provided to you free of charge. There are no fees to create an account or to use the main features of the Service at this time. We may in the future introduce premium features, subscriptions, or other charges for certain portions of the Service as our business model evolves, but we commit that we will not charge you without providing clear notice and obtaining your consent.

If we decide to implement any fees or paid services, we will update these Terms (and likely present you with a new agreement or opt-in) and give you an opportunity to review and accept the new terms. You are not obligated to continue using MoneyTalkie if you do not agree to any future fees. Rest assured that if any changes to pricing occur, we will communicate them transparently, and the Service will remain free unless you explicitly agree to pay for additional features.

6. AI-Generated Insights and No Financial Advice

MoneyTalkie's core functionality is to provide automatically generated financial insights based on your data, but it is not financial or investment advice. All information, analyses, recommendations, or summaries provided by the Service (collectively, "insights") are generated by artificial intelligence algorithms. While we strive for accuracy and usefulness, these AI-generated insights may contain errors, omissions, or outdated information. MoneyTalkie is not a registered investment advisor, financial planner, or broker-dealer, and no content on the platform constitutes professional advice on financial, investment, legal, or tax matters. You should treat the insights as educational and informational tools to help you think about your finances โ€“ not as a substitute for personal judgment or professional advice.

No Professional Advice: You acknowledge that no fiduciary relationship or advisor-client relationship is created by using MoneyTalkie. Always use your own judgment and/or consult with a qualified financial advisor or other professional before making any significant financial decisions. For example, if MoneyTalkie suggests you could save money by refinancing a loan or indicates you might invest more in a retirement account, you should independently verify these suggestions and consider your personal circumstances or get advice from a certified professional. The content provided may not take into account all factors unique to your situation and should not be blindly relied upon for important decisions.

Potential Inaccuracies: The AI models powering MoneyTalkie use complex algorithms and available data to generate insights, but AI has inherent limitations. The Service might occasionally produce incorrect interpretations, overlook nuances, or fail to anticipate economic changes. Additionally, any forecasts or projections (if provided) are speculative and not guaranteed. MoneyTalkie does not guarantee that the insights are 100% accurate, complete, or up-to-date. By using the Service, you understand and accept that any actions you take based on MoneyTalkie's content are taken at your own risk. Neither MoneyTalkie nor its developers will be liable for decisions you make in reliance on the AI-generated insights. If you find that an insight seems wrong or questionable, we strongly encourage you to double-check the underlying data or consult a professional. MoneyTalkie encourages responsible use of its AI outputs. Treat the app as a helpful assistant that can organize information and highlight opportunities, but continue to review your finances carefully. If you need personalized advice that considers information beyond what you have provided to MoneyTalkie (such as complex investment strategies or tax planning), you should seek out a licensed financial advisor, accountant, or other professional.

7. User Data and Privacy

Using MoneyTalkie requires providing access to sensitive financial data, and protecting that data is of paramount importance to us. When you connect your financial accounts or input personal information into the Service, you trust us with your data. We handle all user data in accordance with our Privacy Policy, which details what information we collect, how we use it, and how we safeguard it.

Data Security: MoneyTalkie uses industry-standard security measures to protect your data, including encryption of data in transit and at rest. We also employ techniques like data obfuscation and anonymization where feasible to reduce exposure of personally identifiable information, especially when processing data through our AI systems. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security. You acknowledge that you provide your information at your own risk, but know that we take commercially reasonable efforts to protect your data from unauthorized access or disclosure.

Account Integrations and Consent: By using the Service, you authorize MoneyTalkie to access and process the personal and financial data you provide or link. This includes retrieving data from your linked bank accounts, credit accounts, or other financial sources through third-party integrations (as described in Section 8), and storing and analyzing that data to generate insights. You retain ownership of the data that you provide to MoneyTalkie. We do not claim any ownership over your bank transaction history, account information, or other personal data. What you give us remains yours. However, you grant MoneyTalkie a license to use, process, and display your data for the purpose of operating the Service and providing results to you. This license is limited to those purposes โ€“ we do not use your personal data for unrelated commercial purposes without your consent.

Privacy Practices: We will not sell your personal financial data to third parties. We will not share your data with third parties except (a) as needed to provide the Service (for example, sharing with our AI processing providers or account integration partners under strict privacy and security obligations), (b) as allowed by our Privacy Policy, or (c) if required by law (such as a lawful subpoena). Any aggregated or de-identified data (data that cannot reasonably be used to identify you) that we derive from user information may be used by MoneyTalkie to improve the Service, develop new features, or generate insights about our user base. For instance, we might look at trends across many users in an anonymized way to help refine our AI models. Such aggregated data will not identify any individual user. Please review the MoneyTalkie Privacy Policy for more details on how we handle your information. By using the Service, you acknowledge that you have read our Privacy Policy and understand that it governs the collection, use, and disclosure of personal information on MoneyTalkie. If you have any privacy-related questions or requests (for example, accessing or deleting your data), you can contact us as outlined in the Privacy Policy or in Section 19 of these Terms.

8. Third-Party Services and Integrations

MoneyTalkie works in tandem with several third-party services to deliver its features. We want to clarify how these integrations work and what you agree to when using them:

Authentication Providers: If you choose to sign up or log in using Google Sign-In or Apple Sign-In, you are using authentication services provided by Google LLC or Apple Inc. respectively. These third-party login services allow us to verify your identity without seeing your password. By using one of these options, you agree to abide by the respective provider's terms (for example, Google's Terms of Service or Apple's terms for Apple ID). We are not responsible for any issues with your Google or Apple accounts. If, for instance, your Google account is suspended or compromised, you will need to resolve that with Google. We simply rely on these providers to confirm who you are. We also offer email-based login via a magic link; if you use that, ensure you have secure access to your email account, as anyone with access to your email could potentially log in to MoneyTalkie as you.

Financial Account Linking (Plaid and Others): To provide personalized insights, MoneyTalkie allows you to link your financial accounts (such as bank accounts, credit cards, loans, or investment accounts). We use trusted third-party integration services like Plaid (and potentially others, such as Nova Credit for credit report data) to connect to your financial institutions. By linking an account, you explicitly authorize MoneyTalkie and our data integration partner (e.g., Plaid) to access your financial information from the selected institutions on your behalf. This might include retrieving your account balances, transaction history, credit information, or other relevant data. Your use of the account-linking feature is also subject to the third-party provider's terms and privacy policy (for example, Plaid's End User Privacy Policy). We do not control those third-party terms, so please review them when you link an account. While we have agreements in place with these service providers to protect your information, MoneyTalkie is not responsible for the accuracy of data obtained from your financial institutions or any errors caused by the third-party service. For instance, if the bank provides incorrect transaction data or if there's a delay in updating your information, MoneyTalkie is not liable for any consequences of those inaccuracies. We rely on the data as provided to us via the integration.

AI and Cloud Providers: MoneyTalkie leverages third-party AI platforms and cloud infrastructure to power its analytics. This includes services like OpenAI (which provides the language model that helps generate explanations or advice), Google Cloud (which may host our servers and data), and other AI model providers such as Sentence Transformers or Google Gemini for specialized analysis. We carefully choose these providers for their capabilities and security standards, and we have agreements in place to govern our use of their services. However, these are external services outside of MoneyTalkie's direct control. By using MoneyTalkie, you understand that behind the scenes your data and queries may be processed by these third-party AI engines under our instructions. We impose confidentiality requirements on these processing activities, but ultimately we cannot guarantee that these third-party services will never experience outages or security events. If an AI service is unavailable or returns an inaccurate result, MoneyTalkie will do its best to handle the situation (for example, by retrying the request or using a backup model), but we aren't responsible for the internal workings of those third-party systems. Similarly, if any third-party provider suffers a data breach or other incident that affects your information, we will notify you as required by law and take appropriate actions, but we may not be liable for the damages caused by such third-party actions.

In summary, while using MoneyTalkie you may indirectly use third-party services (login providers, data aggregators, AI platforms). We want you to be aware that your use of those features constitutes your agreement to those third parties' terms as well. MoneyTalkie does not make any warranties about the services provided by these third parties, and we are not responsible for their acts or omissions. However, if you encounter an issue involving a third-party integration, you can reach out to us and we will attempt to assist or provide contact information for the third party when possible. We value your experience and only partner with reputable third-party services to keep MoneyTalkie running smoothly and securely.

9. Affiliate Links and Third-Party Offers

MoneyTalkie's mission is to help you improve your financial life, and sometimes this involves introducing you to external products or services that might benefit you. For example, based on your financial situation, MoneyTalkie might suggest a credit card with better rewards, a loan with a lower interest rate, an insurance product, or another financial service provided by an outside company. Please note that any third-party product recommendations or offers presented through MoneyTalkie are for your convenience and consideration only โ€“ you are under no obligation to act on them.

Affiliate Relationships: In some cases, MoneyTalkie may have a marketing or affiliate relationship with the company offering the product. This means if you click on a link or apply for a product through our recommendation, MoneyTalkie might receive a commission, referral fee, or other compensation from the third party if you complete a qualifying action (such as getting approved for a credit card or signing up for a service). We believe in transparency: if a link or offer is something that could result in compensation to us, we intend to disclose that fact to you (either in the context around the link or in a general disclosure within the app). These commissions help us keep the core Service free for users.

No Endorsement or Warranty of Third-Party Products: Any third-party offers or promotional links provided by the Service do not constitute an endorsement by MoneyTalkie. We do not make any guarantee about the terms, quality, availability, or results of any product or service offered by a third party. If, for example, we suggest a certain credit card, we are not guaranteeing that you will be approved for it or that it's the best option for you; we are simply presenting it as a potential opportunity based on information available to us. You should always review the third party's own terms and conditions and privacy policy before signing up for anything. Your relationship with that third-party provider will be entirely separate from your relationship with MoneyTalkie.

User's Choice and Responsibility: Whether or not you engage with any third-party offer through MoneyTalkie is completely your choice. Declining or ignoring these offers will not affect your use of the MoneyTalkie app; the core features remain available regardless of whether you take advantage of suggested products. If you do choose to explore an offer, you will likely be directed to the third party's website or application. At that point, you will be dealing directly with that external provider, and you should rely on the information they provide. MoneyTalkie is not responsible for anything that happens once you leave our platform and go to a third-party site (for example, we are not responsible for the content on the third-party site, any agreements you enter into with the third party, or any use of your data by the third party).

Affiliate Disclosure: We comply with regulations (such as U.S. Federal Trade Commission guidelines) that require disclosure of affiliate relationships. By using the Service, you acknowledge that you understand MoneyTalkie may have financial incentives tied to some recommendations. However, we assure you that we prioritize your best interests โ€“ we aim to only show you offers that could be genuinely useful for you, regardless of compensation. Any compensation we receive does not increase the cost to you; typically, it's paid by the third-party company as a marketing cost. In summary, treat any third-party offers as optional suggestions. You should do your own due diligence before accepting any offer, and you agree that MoneyTalkie is not liable for any issues arising from your interactions with those third-party products or services.

10. Prohibited Uses

We strive to make MoneyTalkie a secure and trustworthy service for all users. To maintain the integrity of the platform, you agree that you will NOT misuse MoneyTalkie or use it in any way that is illegal or harmful. Examples of prohibited uses include, but are not limited to, the following:

Illegal Activities: You may not use MoneyTalkie for any unlawful purpose or in furtherance of illegal activities. This means you cannot use the Service in violation of any laws, regulations, or court orders applicable to you. (For example, you must not use MoneyTalkie to launder money, support hate speech, or engage in any fraudulent activity.)

Fraud and Misrepresentation: You must not input false, fraudulent, or misleading information into MoneyTalkie. This includes not lying about your identity, not impersonating any person or entity, and not misrepresenting your financial information. Using the Service to try to deceive MoneyTalkie or others (such as attempting to game the system with fake data) is strictly prohibited.

Unauthorized Access and Security Violations: You shall not attempt to interfere with or compromise the Service's integrity or security. This includes not attempting to hack into MoneyTalkie's systems, not circumventing authentication or access controls, not introducing viruses or malicious code, and not using any automated means (like bots or scrapers) to access, query, or collect information from MoneyTalkie without our express permission. Also, you agree not to exploit any potential vulnerabilities or bugs you might find; instead, please report them to us so we can fix them.

Abusive Behavior: You must not use MoneyTalkie in a manner that could harm, disable, overburden, or impair our systems or networks, or interfere with any other party's use of the Service. Additionally, while MoneyTalkie is primarily a one-on-one service (between you and the app), any interaction you have via support or community channels related to MoneyTalkie must be respectful. Harassing, threatening, or abusing our support team or other users (if any community features exist) is not allowed.

Commercial Exploitation: MoneyTalkie is provided for your personal use. You agree not to use the Service for commercial purposes such as gathering insights to sell to others, operating a competing service, or using MoneyTalkie's outputs in any publication or service that you charge for. You also may not resell, rent, or lease the Service to any other person or entity. In short, you can't make money off of our Service without permission.

Unauthorized Data Use: You should only use MoneyTalkie with accounts and data that you are authorized to access. Do not attempt to link accounts that don't belong to you or that you don't have legal authority to use. Additionally, if the Service allows uploading or entering notes or other content, you must not upload any content that you don't have the rights to upload (for example, proprietary information of a third party, confidential information you're not allowed to share, or personal data of others without consent).

Other Harmful Acts: Any other act that we deem contrary to the spirit of providing a safe, reliable, and fair service may be considered a prohibited use. This includes using the Service in a way that could damage MoneyTalkie's reputation or that of our partners.

If you engage in any of these prohibited uses (or any other misuse of the Service), MoneyTalkie reserves the right to terminate or suspend your account (see Section 12) and take appropriate legal action if necessary. We may also cooperate with law enforcement and other authorities in investigating violations. It's important to use MoneyTalkie responsibly and ethically so that it remains available for everyone's benefit.

11. Modifications and Updates

Changes to the Service: MoneyTalkie is an evolving platform, and we may modify, update, or discontinue the Service (or any part of it) at any time. This could include adding new features, changing or removing certain functionalities, or updating the way the Service looks or operates. We reserve the right to make such changes with or without prior notice. For example, we might integrate a new AI model provider, change the interface, or even shut down a certain feature that is no longer useful. If a change is material (significant) and affects the way you use the Service, we will do our best to inform you in advance via the app, website, or email. However, there may be times when an immediate change is necessary for security or legal reasons, and we might implement it without advance notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of any part of the Service. If you don't like a change, you can stop using MoneyTalkie, though we'd appreciate feedback to help us improve.

Changes to these Terms: We may revise or update these Terms and Conditions from time to time. If we update the Terms, we will change the "Last Updated" date at the top of this document. In some cases, we might provide additional notice of a significant update, such as by sending you an email or displaying a prominent notice within the app. It is your responsibility to review these Terms periodically to stay informed of any changes. When we make changes, they will become effective immediately upon posting (unless we specify otherwise). By continuing to use MoneyTalkie after a new version of the Terms has been posted, you are agreeing to the updated Terms. If you do not agree with a change to the Terms, you should discontinue your use of the Service. We may ask you to actively agree to new terms (for example, through a click-through agreement) for certain major changes or for introduction of fees, but even if we do not, your continued use constitutes acceptance.

App Updates: (If you are using a mobile app) MoneyTalkie may automatically download and install updates from time to time to improve, enhance, and further develop the Service. These updates may fix bugs, improve security, add new modules or features, or remove outdated features. By using the app, you agree to receive such updates (and permit MoneyTalkie to deliver these to you) as part of your use of the Service. If you do not install updates, the Service's functionality or security might be affected, so we encourage you to keep your app updated.

12. Termination of Service

User Termination: You are free to stop using MoneyTalkie at any time. If you wish to delete your MoneyTalkie account and have us remove your data (as permitted by law), please refer to the instructions in our Privacy Policy or contact us at our support email. Closing your account will mean you can no longer access the Service or the insights provided.

MoneyTalkie Termination or Suspension: We reserve the right to suspend or terminate your access to the Service (or to certain features) at our sole discretion, with or without notice, if we have reason to believe that: (a) you have violated these Terms (for example, engaging in a prohibited use or breaching the account security rules), (b) you create risk or possible legal exposure for us, (c) our provision of the Service to you is no longer commercially viable, or (d) we have decided to discontinue the Service altogether. We may also temporarily suspend the Service for you if we detect unusual activity in your account (for example, to investigate fraud or security issues). Where reasonable, we will try to notify you of the reason for suspension or termination (such as sending an email to the address associated with your account).

Effects of Termination: If your account is terminated (by you or by us), your right to use the Service will immediately cease. You must stop using any MoneyTalkie interfaces and you will no longer be authorized to access your account or the Service. Any licenses or rights given to you under these Terms will end. However, important sections of these Terms will survive termination. In particular, any provisions regarding ownership of data you provided, disclaimers of warranties, limitations of liability, dispute resolution, and any other provisions that by their nature should survive, will remain in effect even after your access to the Service ends. Termination of your account does not relieve you of any obligations you incurred while using the Service or any liability for fees (not applicable now since the service is free) or damages you may have caused. If we terminate your account due to a breach of these Terms, we reserve the right to refuse any future use of MoneyTalkie by you (for example, by blocking your email or device, or otherwise preventing re-registration). MoneyTalkie also reserves the right to terminate or cease offering the Service entirely to all users. If we decide to shut down MoneyTalkie, we will make reasonable efforts to provide advance notice to users so you can download any data or information you might need. We consider it important that you have an opportunity to retain your financial data or any reports that the Service has provided you.

13. Disclaimer of Warranties

MoneyTalkie is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. To the maximum extent permitted by law, MoneyTalkie disclaims any and all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We make no representation or warranty that the Service will meet your requirements or expectations, that it will always be available, uninterrupted, secure, or error-free, or that the information provided (including any insights, recommendations, or analytics) will be accurate, complete, or reliable.

No Guarantee of Results: MoneyTalkie does not guarantee any outcomes from using the Service. For example, we do not promise that using our app will improve your financial situation, increase your credit score, save you a specific amount of money, or achieve any particular financial result. Any examples or scenarios provided in the app are for illustration and informational purposes only and are not assurances of actual outcomes.

System Availability: While we aim for high availability, we do not warrant that the Service will be free from disruptions, delays, or imperfections. Scheduled downtime for maintenance or updates, as well as unscheduled outages (such as those due to technical issues or factors outside our control), may occur. You acknowledge that such disruptions are possible and we are not liable for any inconvenience or damage they may cause.

Data and Information: Any information or material obtained through the use of MoneyTalkie (such as financial insights or advice) is done at your own discretion and risk. MoneyTalkie is not responsible for any damage to your computer system or mobile device, or for any loss of data, that results from the download or use of any content via the Service. We try to ensure that the data we present (for example, your account balances or transactions) is up-to-date and correct as provided by third-party sources, but we cannot guarantee it. All financial information is provided "as is," and we are not responsible for errors or omissions in that data.

Third-Party Content: Any links to third-party websites or resources, or any third-party information (including offers or advertisements) provided within MoneyTalkie, are provided for your convenience only. We do not endorse, warranty, or assume responsibility for any third-party offerings. If you access any third-party content or services through our platform, you do so at your own risk and subject to whatever terms and privacy policies those third parties have. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any warranties required by law are limited to the shortest period and fullest extent permitted by law.

14. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will MoneyTalkie or its parent company, affiliates, officers, directors, employees, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not MoneyTalkie has been informed of the possibility of such damage.

This means that, for example, MoneyTalkie and its team will not be liable for:

Financial Losses: Any financial loss you incur (such as lost profits, missed savings, or economic loss) as a result of using or relying on MoneyTalkie's insights or suggestions.

Data Loss: Loss or corruption of data (whether that's losing some financial records or any other information) that might occur through using the Service.

Personal Injury or Property Damage: (Though it's hard to imagine how MoneyTalkie could cause physical injury or property damage, we include this for completeness) any harm to you or your property arising from use of the Service.

Third-Party Conduct: Any conduct or content of any third party using the Service or any third-party service or product recommended or integrated with the Service. For instance, if a bank whose account you linked causes you some harm, or an affiliate offer you pursued was misleading, MoneyTalkie isn't liable for the actions of that third party.

Any other Indirect or Consequential Losses: Any damages that do not directly flow from our actions (for example, if the use of our Service leads to a decision that causes other problems, we are not responsible for those knock-on effects).

If, notwithstanding the above, MoneyTalkie is found liable to you for any damage or loss arising out of or relating to these Terms or your use of the Service, our total cumulative liability shall be limited to the greater of: (a) the amount (if any) you paid to MoneyTalkie for the Service in the twelve months prior to the event giving rise to the liability, or (b) US $100 (one hundred dollars). Since MoneyTalkie is currently free, option (a) will likely be zero, thus our liability would be capped at $100. This cap on liability is cumulative and not per-incident; it applies to all claims you bring against us in aggregate. Some jurisdictions do not allow the exclusion or limitation of certain damages. If laws in a relevant jurisdiction do not allow the exclusions or limitations above, those exclusions or limitations may not apply to you to the extent prohibited. However, in all cases, MoneyTalkie's liability will be limited to the fullest extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless MoneyTalkie, its parent company, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise out of or relate to: (a) your use or misuse of the Service, (b) your violation of these Terms or any applicable law or regulation, or (c) your infringement or violation of any rights of another person or entity (for example, providing MoneyTalkie with data that you had no right to share, or using the Service to engage in unlawful conduct).

For instance, if you were to use MoneyTalkie in a way that breaches the Terms and that causes us to be sued by a third party, you would be responsible for the costs and any damages we incur as a result. Or if you provided false information and someone else is harmed by relying on something from MoneyTalkie that was based on your false information, and they bring a claim against us, you might have to cover our losses. MoneyTalkie reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (meaning we take over handling it), and in that case, you agree to cooperate with our defense of that claim. You agree not to settle any such matter without our prior written consent. We will make reasonable efforts to notify you of any claim or liability that we receive and believe is covered by this indemnity.

16. Governing Law

These Terms and any dispute arising out of or in connection with these Terms or the MoneyTalkie Service ("Disputes") shall be governed by and construed in accordance with the laws of the United States and the laws of the State of California, without regard to its conflict of law principles. We choose California law because it is where our operations are based (for example, if MoneyTalkie is headquartered or incorporated in California) and we want a consistent legal framework to apply. If you are using MoneyTalkie from outside the U.S. (even though our Service is intended for U.S. and Canadian residents), you understand and agree that U.S. law will apply to your use of the Service. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms. In some countries or provinces, there may be certain consumer protection laws that require the application of local law. We do not seek to override any such laws if they are legally required to apply. However, to the extent permitted, you agree to the application of California and U.S. law as described.

17. Dispute Resolution and Arbitration

We hope to resolve any issues you have with MoneyTalkie amicably. However, if a dispute arises between you and MoneyTalkie, this section explains how we agree to resolve it.

Informal Resolution: Most concerns can be solved quickly by contacting us at our support email (see Section 19). We encourage you to reach out to us first and try to resolve any issue informally.

Binding Arbitration: If we cannot resolve a dispute informally, you and MoneyTalkie agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service (including any question regarding its existence, validity, or termination) shall be finally resolved by binding arbitration. Arbitration is a process where a dispute is submitted to a neutral arbitrator (instead of a judge or jury in court) who makes a binding decision. You and MoneyTalkie are waiving the right to a trial by jury or to participate in a class action lawsuit. Arbitration will be conducted in English and, unless we both agree otherwise in writing, will be administered by a reputable arbitration provider, such as the American Arbitration Association (AAA), under the applicable arbitration rules (for example, the AAA's Consumer Arbitration Rules). You can obtain these rules from AAA's website or by contacting them. If AAA is not available to arbitrate, we will mutually select an alternative arbitration provider.

Arbitration Procedure: To start an arbitration, you must send a letter requesting arbitration and describing your claim to our registered agent or to our contact address provided in Section 19. The arbitration will be conducted by a single neutral arbitrator. If the dispute involves a sum of $10,000 or less, you or MoneyTalkie may choose to have the arbitration conducted solely based on written submissions, or through a telephonic hearing, or an in-person hearing in the county (or equivalent) of your billing address. If the dispute involves more than $10,000, the right to a hearing will be determined by the arbitration rules (for example, AAA rules). The arbitrator will have the authority to award the same damages and relief that a court could (including injunctive and declaratory relief or statutory damages), but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.

Costs of Arbitration: Payment of all filing, administration, and arbitrator fees will be governed by the arbitration provider's rules. We will pay those fees for you up to a certain amount if required by applicable law or the arbitration provider's rules, or if the arbitrator determines the fees would be prohibitive for you compared to litigation. Each party is responsible for their own lawyers' fees, unless the arbitrator awards attorneys' fees to the prevailing party under applicable law or agreements.

No Class Actions: You and MoneyTalkie agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding. The arbitrator can award relief (including monetary, injunctive, and declaratory relief) only on an individual basis, and cannot award any form of relief that would affect other users.

Exceptions: Notwithstanding the foregoing arbitration agreement, both you and MoneyTalkie retain the right to: (a) bring an individual claim in small claims court if it qualifies; and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent (or stop) infringement or misappropriation of intellectual property (for example, trademark or copyright infringement or breach of license provisions). Also, if an arbitration issue arises that relates to the enforceability of the class action waiver, that specific issue may only be decided by a court and not an arbitrator (because if the class-action waiver is found unenforceable, the entire arbitration clause would not apply).

Opt-Out Right: We understand that arbitration may not suit everyone. If you do not wish to be bound by the arbitration and class-action waiver provisions in this section, you have the right to opt out. To do so, you must send a written notice of your decision to opt out to our contact address listed in Section 19 (you can send it via email or postal mail). Your opt-out notice must include your name, address, the email associated with your MoneyTalkie account (if any), and an unequivocal statement that you want to opt out of the arbitration agreement. To be effective, this opt-out notice must be sent within 30 days of the first time you agree to these Terms. If you opt out of arbitration, the other parts of these Terms (including all other provisions of this Dispute Resolution section) will continue to apply to you. Opting out of this arbitration agreement will not negatively affect your relationship with MoneyTalkie or your use of the Service. If you do not opt out within the 30-day period, you and MoneyTalkie shall be bound by the arbitration and class-action waiver terms of this section.

Governing Law for Arbitration: The Federal Arbitration Act (9 U.S.C. ยงยง 1-16) governs the interpretation and enforcement of this Section 17 (Dispute Resolution), and any arbitration proceedings shall be conducted in accordance with that law. By agreeing to these Terms, you explicitly acknowledge that you have read and understand this agreement to arbitrate and that you are waiving rights to a trial by jury or to participate in a class action.

18. Miscellaneous

Entire Agreement: These Terms and Conditions (along with the Privacy Policy and any other policies or guidelines we provide within the Service) constitute the entire agreement between you and MoneyTalkie regarding the Service, and supersede any prior agreements, understandings, or communications (whether written or oral) relating to your use of MoneyTalkie. In other words, what's written here (and in our Privacy Policy) is what governs our relationship; any promises or statements that aren't included here aren't binding.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. (For example, if a court says the arbitration clause is not enforceable, the rest of the Terms still apply.)

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If MoneyTalkie does not immediately act on a breach of these Terms by you, it does not mean we are giving up our right to act in the future or on similar breaches. To be an official waiver of any term, we would have to expressly notify you in writing that we are waiving a particular provision.

Assignment: You may not assign or transfer these Terms (or any of your rights or obligations under them) without our prior written consent. Any attempt by you to assign without consent is void. MoneyTalkie may freely assign or transfer these Terms (for example, to a successor entity if we undergo a merger, acquisition, or sale of assets, or simply to an affiliate or subsidiary) without notice or consent. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

No Third-Party Beneficiaries: These Terms are between you and MoneyTalkie. Except as expressly provided in these Terms, no third party has any rights to enforce or enjoy the benefit of any provision of these Terms. (This means, for example, that just because you might discuss MoneyTalkie's insights with a friend, that friend can't later hold us liable based on your agreement here; the friend isn't a party to this contract.)

Relationship of Parties: You and MoneyTalkie are independent contractors. These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between us. You are not an agent or representative of MoneyTalkie, and you cannot represent or bind MoneyTalkie in any way. Likewise, MoneyTalkie is not your agent or representative.

Force Majeure: MoneyTalkie will not be liable for any delay or failure in performance of the Service (including preventing or delaying your access to the Service) resulting from events outside our reasonable control, such as acts of God, natural disasters, war, terrorism, riots, labor conditions, governmental actions, Internet outages, or power failures. If such events occur, we will do our best to restore the Service as soon as possible.

Headings: Section headings in these Terms are for convenience and organization only. They do not affect the interpretation of any provision.

Contact and Electronic Communications: You agree that we may communicate with you electronically (e.g., by email or by posting notices in the app) regarding security, privacy, and administrative issues relating to your use of MoneyTalkie. You agree that any electronic communications satisfy any legal requirements that communications be in writing.
